What the service includes

  • Consulting and choice of legal form: flat-rate entrepreneur, entrepreneur keeping books, or d.o.o., with a recommendation of the most favorable tax regime for your activity.
  • Selecting the primary activity code and drafting the founding act and registration application.
  • Filing the formation application with APR and obtaining the decision with the company number and tax ID (PIB).
  • Enrolling the founder or director in mandatory social insurance through the Central Registry (CROSO) when a legal mandatory-insurance basis exists.
  • Preparing the information and documents for a business bank account. The bank carries out its own checks and decides whether to open the account.
  • Registering in the VAT system when mandatory or when it benefits you, including registration on the Tax Authority portal and on SEF for e-invoices.
  • Filing for flat-rate taxation and opening the KPO ledger, or setting up bookkeeping for the business-books regime.

Company (d.o.o.)

Best for One or more owners, personal assets protected, room to grow. Requires full books and an annual report.

8,000 RSD APR state fee. Our service fee is quoted on request.

  • Everything in the sole trader package
  • Drafting the founding act and the decision appointing the director
  • Recording the share capital, which is at least 100 dinars and need not be paid in immediately
  • Enrolling the founder or director through CROSO when a mandatory-insurance basis exists
  • Recording the beneficial owners in the central register, with the deadline and the qualified electronic signature explained
  • Setting up double-entry bookkeeping and, when mandatory or beneficial, VAT and SEF registration

How we handle it

    Consultation and form selection

    We listen to your plans, assess your expected turnover and activity, and choose the legal form and tax regime together. We tell you right away whether you enter the VAT system and roughly what the company will cost per month.

    Document preparation

    We draft the founding act and registration application and check the primary activity code. We state which documents you provide and which signatures require certification before filing.

    Registration with APR

    We file the formation application with APR and follow the procedure through to the decision with the company number and PIB. Once the decision arrives, your company officially exists.

    Bank account, CROSO and taxes

    We prepare the bank documentation and coordinate the account-opening step. The bank performs its own checks and decides on the account. We file CROSO registration only when a mandatory-insurance basis exists, and submit the applicable tax filings.

    First obligations and ongoing bookkeeping

    After the APR decision, we provide the filing documents and explain the bank, CROSO, tax and beneficial-owner steps that apply. Ongoing bookkeeping starts under a separate service agreement.

Frequently asked questions

APR decides on a complete registration application within five business days of receipt. The business account is a separate bank procedure, and CROSO registration is filed only when a mandatory-insurance basis exists. We do not promise a first operating date before those applicable steps are complete.

It depends on your activity, expected turnover, and the risk you carry. An entrepreneur is simpler and cheaper to run but is liable with their entire personal assets, while with a d.o.o. the owner generally is not liable with personal assets for the company's obligations, and the minimum share capital is just 100 dinars. During the consultation we recommend the form that suits you best.

As a rule, not at the start. VAT registration becomes mandatory once taxable turnover in the preceding 12 months exceeds the prescribed threshold, which for 2026 is 8 million dinars. Note that a flat-rate entrepreneur also has a separate annual turnover limit for keeping the flat-rate regime. You can also register voluntarily if it benefits your business, and we handle that part for you.
